1. DEFINITIONS

  1. "StartHere.care," "we," "us," and "our" means StartHere.care LLC, a Michigan limited liability company, and its affiliates.
  2. "Service" means the StartHere.care website, applications, and related features.
  3. "User" means any person who uses the Service, including Clients and Therapists.
  4. "Client" means a User seeking to connect with a Therapist.
  5. "Therapist" means a User who offers professional services independently from StartHere.care.
  6. "Third-Party Services" means services not controlled by StartHere.care, including therapy services provided by Therapists.
  7. "Fit" or "Alignment" means the Service's structured process designed to help Clients identify Therapists whose preferences, approach, logistics, and availability appear compatible based on information provided.

2. ACCEPTANCE; CLICKWRAP ASSENT; UPDATES

  1. BY CLICKING "CREATE ACCOUNT," "CONTINUE," OR ANY BUTTON PRESENTED WITH AN "I AGREE" CHECKBOX, OR BY OTHERWISE ACCESSING OR USING THE SERVICE, YOU AGREE TO THESE TERMS AND ACKNOWLEDGE THE PRIVACY POLICY.
  2. You agree that the checkbox-and-click process constitutes your electronic signature.
  3. If you do not agree, do not use the Service.
  4. StartHere.care may update these Terms by posting a revised version with an updated effective date and version number.
  5. Continued use after the effective date constitutes acceptance.

3. ELIGIBILITY

  1. You represent that you are at least 18 years old and have legal capacity to enter these Terms.
  2. The Service is available throughout the United States. Certain features (such as license verification) may vary by state. StartHere.care LLC is organized under the laws of Michigan.

4. IMPORTANT: START HERE.CARE IS NOT THERAPY; NO EMERGENCY USE

1. START HERE.CARE IS NOT A HEALTHCARE PROVIDER.

  1. StartHere.care does not provide therapy, counseling, medical care, diagnosis, or treatment.
  2. StartHere.care does not supervise or control any Therapist's professional judgment.

2. NO EMERGENCY USE.

  1. The Service is not for emergencies or crisis situations.
  2. If you believe you may harm yourself or others, call 911 (or local emergency services). In the United States, you may dial 988 for the Suicide & Crisis Lifeline.

3. NO GUARANTEES.

  1. StartHere.care does not guarantee that you will find "fit" or "alignment," connect with any Therapist, be accepted by any Therapist, secure an appointment, or achieve any outcome.

5. ACCOUNTS; SECURITY; ACCURACY

  1. You are responsible for maintaining credential confidentiality and for all activity under your account.
  2. You agree to provide accurate information and update it as needed.
  3. You will not:
    1. Misrepresent your identity or (if a Therapist) your credentials;
    2. Use the Service for unlawful, harmful, harassing, or abusive purposes;
    3. Scrape, reverse engineer, or disrupt the Service; or
    4. Attempt to bypass security controls.

6. ALIGNMENT TOOLS; INTRODUCTIONS; THIRD-PARTY SERVICES

  1. The Service provides structured tools intended to support fit and alignment, and may facilitate exchange of contact information and suggested first messages.
  2. Matching Algorithm. StartHere.care uses proprietary algorithms to suggest potential matches based on information provided by Clients and Therapists. StartHere.care reserves the right to modify, update, or change these algorithms at any time without notice. Algorithm changes may affect how matches are scored, ranked, or displayed.
  3. Match Prioritization. StartHere.care may prioritize, rank, or order matches and Therapist listings based on any factors we deem relevant, including but not limited to: profile completeness, responsiveness to client inquiries, engagement metrics, availability status, geographic considerations, account standing, and platform activity. Therapists who are unresponsive or inactive may be deprioritized in search results and match suggestions. StartHere.care reserves the right to adjust prioritization criteria at any time.
  4. Therapists are independent third parties. Any professional services are provided solely by the Therapist under the Therapist's own terms, consents, and obligations.
  5. StartHere.care is not responsible for:
    1. Therapy services, clinical decisions, conduct, outcomes, or communications;
    2. Any disputes between Clients and Therapists; or
    3. Any Third-Party Services.
  6. Communications. By creating an account, you agree to receive operational emails (such as match notifications, verification requests, and account updates). StartHere.care may also send periodic announcements, product updates, or newsletters. You may opt out of non-essential communications through your account settings or by using the unsubscribe link in each email, but operational messages required for service function cannot be disabled while your account is active.

7. IMPORTANT: LICENSURE AND VERIFICATION (LIMITED; NOT A GUARANTEE)

1. Therapist Eligibility Standard.

  1. Therapists listed on the Service are required to hold a current, valid professional license in the jurisdiction(s) where they offer services.

2. StartHere.care's Verification Is Limited.

  1. StartHere.care may review licensure using public sources (including state licensing databases) and/or information provided by a Therapist.
  2. Public databases may be delayed, incomplete, inaccurate, or unavailable.
  3. StartHere.care does not represent that verification occurs in real time or on any fixed schedule.
  4. Verification does not guarantee that a Therapist is currently licensed, in good standing, insured, competent, or appropriate for any Client.

3. Suspension and Removal.

  1. StartHere.care may delay, restrict, suspend, or remove any Therapist profile if verification cannot be completed, information appears inconsistent, required re-attestations are not completed, or credible concerns are reported.

4. Reporting.

  1. If you believe a Therapist is not properly licensed or a profile is inaccurate, you agree to notify StartHere.care promptly at info@StartHere.care.

8. THERAPIST-SPECIFIC TERMS (APPLY ONLY TO THERAPISTS)

  1. If you create or use a Therapist account, you represent, warrant, and agree that:
    1. You hold and will maintain a current, valid license in each jurisdiction where you offer services;
    2. All information you provide is true, complete, and not misleading;
    3. You will notify StartHere.care within 5 business days of any lapse, restriction, suspension, revocation, probation, consent order, disciplinary action, or material complaint relating to your license;
    4. You consent to verification using public sources and to requests for documentation;
    5. You will complete periodic re-attestation when requested; and
    6. You will not state or imply that StartHere.care provides therapy or clinical oversight.
  2. StartHere.care may suspend or remove your profile if you fail to respond to verification requests or re-attestation requirements.
  3. INDEMNITY (THERAPISTS).
    1. You agree to indemnify and hold harmless StartHere.care from claims arising out of:
      1. Your professional services;
      2. Your breach of these Terms;
      3. Your misrepresentation of licensure or credentials; or
      4. Your violation of law or professional obligations.

9. PEER REFERRAL NETWORK (THERAPISTS ONLY)

  1. The Peer Referral Network enables verified Therapists to coordinate warm handoffs when a Therapist cannot serve a Client.
  2. Referral Requests.
    1. All referral posts must be de-identified and must not contain Protected Health Information (PHI), personally identifiable information, or details that could identify a specific Client.
    2. You must use structured referral fields provided by the Service; free-text PHI is prohibited.
  3. Client Consent.
    1. Client identity and contact information will only be shared with a receiving Therapist after the Client provides explicit consent via a secure consent link.
    2. You may not share Client identifying information outside of the consent workflow.
  4. Prohibited Conduct.
    1. You may not use the referral system to solicit Clients from other Therapists.
    2. You may not respond to or create referrals that contain misleading information.
  5. Moderation.
    1. StartHere.care reserves the right to remove or restrict any referral content that violates these Terms or is otherwise inappropriate.
    2. StartHere.care may suspend referral privileges for repeated violations.

10. USER CONTENT; PERMISSIONS

  1. "User Content" includes structured inputs, video introductions, profile information, and other information you submit through the Service.
  2. You grant StartHere.care a limited, non-exclusive license to use User Content to operate, maintain, and improve the Service, consistent with the Privacy Policy.
  3. Video Content.
    1. Therapists may upload video introductions to their profiles. Video content is stored with third-party hosting providers and is displayed to Clients viewing Therapist profiles.
    2. You are responsible for ensuring any video content you upload complies with these Terms and does not contain confidential client information, protected health information, or other prohibited content.
    3. StartHere.care may remove video content that violates these Terms or is otherwise inappropriate.

11. DISCLAIMERS

  1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE."
  2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, START HERE.CARE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. LIMITATION OF LIABILITY

  1. TO THE MAXIMUM EXTENT PERMITTED BY LAW, START HERE.CARE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES.
  2. TO THE MAXIMUM EXTENT PERMITTED BY LAW, START HERE.CARE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF:
    1. $250; OR
    2. THE AMOUNT YOU PAID START HERE.CARE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (IF ANY).
  3. EXCEPTIONS.
    1. This Section does not limit liability to the extent prohibited by law.
    2. This Section applies only to the maximum extent permitted by law and does not limit liability where limitation is not permitted, including liability arising from StartHere.care's fraud, willful misconduct, or any other category of liability that cannot be limited under applicable law.

13. INDEMNIFICATION (ALL USERS)

  1. You agree to indemnify and hold harmless StartHere.care from claims arising out of:
    1. Your misuse of the Service;
    2. Your violation of these Terms; or
    3. Your interactions with any Therapist or third party.

14. TERMINATION; SUSPENSION

  1. StartHere.care may suspend or terminate accounts for safety, integrity, compliance, or Terms violations.
  2. Sections that by their nature should survive will survive, including disclaimers, limitations of liability, and indemnification.

15. GOVERNING LAW; VENUE

  1. These Terms are governed by Michigan law, without regard to conflict-of-law principles.
  2. Exclusive venue (if no arbitration provision is adopted) will be the state or federal courts located in Michigan.
